1. Acceptance of Terms

By accessing or using LANDMARQ (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and LANDMARQ. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

LANDMARQ is a probabilistic land valuation platform that analyzes land parcels across multiple dimensions to help identify potential investment opportunities for energy infrastructure. The Platform provides:

  • Interactive map-based parcel exploration
  • Four-dimensional scoring across best use, grid capacity, NIMBY friction, and neighboring value
  • Parcel comparison and shortlist features
  • Data export capabilities
  • Administrative tools for data management

3. No Investment Advice

Important: The information provided by LANDMARQ is for informational purposes only and should not be construed as investment advice, financial advice, or a recommendation to buy or sell any property.

Scores, value calculations, and opportunity assessments are based on algorithmic analysis and publicly available data. They do not constitute professional appraisals or valuations. You should:

  • Conduct your own due diligence before making any investment decisions
  • Consult with qualified professionals (lawyers, appraisers, financial advisors)
  • Verify all information independently through official sources
  • Understand that past performance does not guarantee future results

4. Data Accuracy Disclaimer

While we strive to provide accurate and up-to-date information, we make no warranties or representations about the accuracy, completeness, or reliability of any data displayed on the Platform, including but not limited to:

  • Parcel boundaries and locations
  • Property values and assessments
  • Infrastructure distances and availability
  • Zoning designations and regulations
  • Score calculations and value estimates
  • Environmental and regulatory information

Data is sourced from third-party providers and public records, which may contain errors, be outdated, or have been modified since retrieval.

5. User Accounts

To access certain features, you may need to create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

6. Acceptable Use

You agree to use the Platform only for lawful purposes and not to:

  • Attempt to access data or features without authorization
  • Interfere with the Platform operation or security
  • Reproduce, distribute, or sell Platform data without permission
  • Use automated tools to scrape or collect data
  • Transmit malware or harmful code
  • Impersonate others or misrepresent your affiliation
  • Use the Platform for any illegal or fraudulent purpose

7. Intellectual Property

The Platform, including its design, features, scoring algorithms, software, and content (excluding third-party data), is the property of LANDMARQ and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works without our express written permission. You retain ownership of any data you upload to the Platform.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDMARQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or anticipated savings
  • Investment losses or failed transactions
  • Data loss or corruption
  • Business interruption or loss of goodwill
  • Any damages resulting from reliance on Platform data

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless LANDMARQ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any investment decisions based on Platform data

11. Termination

By Us: We may terminate or suspend your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms or suspected fraudulent activity.

By You: You may terminate your account at any time by contacting us or using account deletion features within the Platform.

Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Sections related to intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. We will provide notice of material changes through:

  • Email notification to registered users
  • Prominent notice on the Platform
  • Updated “Last updated” date on this page

Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you disagree with any changes, you should stop using the Platform.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

For enterprise customers, disputes may be subject to binding arbitration as specified in your subscription agreement.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and LANDMARQ regarding the Platform, superseding any prior agreements.
